They are roughly the same. "I'm not mad" may sound more serious, whereas "I'm not upset" might sound a little more casual. However, both are interchangeable in almost all situations.

IMO, mad is more about anger. You feel a real displeasure - usually at a person for having done something to you.
Upset is not always about anger. It's more about distress or worry.
For example, if you say you are mad at someone for breaking up with you, you are angry and maybe want to yell or even hit that person. But if you are upset that someone broke up with you, then you are sad and distressed that you are no longer with that person.
The difference is subtle and in some cases may be interchangeable, but using one over the other will give very different emotion.
